1. Scope and Relationship
1.1 These Business (Reseller) Terms ("Business Terms") apply to users who are approved by the Astrix admin as Business Users (each, a "Reseller") and operate in addition to the Astrix Terms of Service.
1.2 By applying for a Business Account and, where approved, by using the Business features, you agree to be bound by these Business Terms.
1.3 Nothing in these Business Terms creates any partnership, joint venture, employment, or agency relationship between you and Prezytion. You act as an independent contractor.
2. Business Account Eligibility and Approval
2.1 Only existing Astrix user accounts in good standing may request an upgrade to a Business Account.
2.2 Approval, rejection, or revocation of a Business Account is at the sole discretion of the Astrix admin.
2.3 A Business Account is personal and non-transferable.
3. Non-Exclusive, Non-Transferable Reseller Role
3.1 As a Reseller, you are granted a non-exclusive, non-transferable, limited right to:
(a) refer new users to Astrix using your unique referral link; and
(b) provide support and education to users who are allocated under your Business Account ("Downline Users").
3.2 You acknowledge that: You do not "own" any customer or account in Astrix; All Astrix users are and remain customers of Prezytion.
4. Referral Links and Onboarding
4.1 You may share your Referral Link for legitimate, lawful purposes only.
4.2 You must not misrepresent Astrix, make promises inconsistent with official documentation, or use misleading or high-pressure tactics.
5. Credit Management for Downline Users
5.1 Subject to configuration, a Business User may approve or allocate credits to their Downline Users.
5.2 Any approval is subject to the same credit validity, expiration, and no-refund rules under the main Terms.
5.3 You may not sell credits outside of Astrix's approved payment flows.
6. Support and Education Obligations
6.1 As a Reseller, you are expected to professionally support and educate your Downline Users, including providing first-line support, explaining features and limitations, and educating on responsible use.
6.2 You must respond to user queries in a commercially reasonable timeframe, escalate complex issues to admin, and clearly communicate that Astrix is a beta tool.
6.3 You must not present yourself as an employee or agent of Prezytion, or make binding commitments on behalf of Prezytion.
7. Movement of Accounts Between Business Users
7.1 Downline Users have the right to request to be moved from one Business Account to another.
7.2 The Astrix admin may, at its discretion, reassign a user account from one Business User to another.
7.3 You have no ownership or vested right to retain any specific user under your Business Account.
8. Branding, Conduct, and Compliance
8.1 You may refer to yourself as "Astrix Business User (Reseller)" or "Astrix Business Reseller" but not as "Astrix partner," "representative," "distributor," or "agent" without separate written authorization.
8.2 You must comply with all applicable laws and regulations, the Astrix Terms, Privacy Policy, and any brand guidelines.
9. Upgrade, Downgrade, and Termination
9.1 The Astrix admin may downgrade or revoke your Business Account at any time by providing 30 days' prior notice. In cases of serious breach, fraud, or abuse, the admin may suspend or revoke privileges immediately.
9.2 You may request to downgrade your Business Account by giving 30 days' written notice to the Astrix admin.
9.3 Upon downgrade or revocation, you will lose access to Business-only tools and will not be entitled to compensation.
10. No Guaranteed Compensation
Unless explicitly stated in a separate written agreement, you are not guaranteed any commission, revenue share, or compensation for acting as a Reseller.
11. Priority of Terms
In the event of any conflict between these Business Terms and the main Astrix Terms of Service, the main Terms of Service prevail.
